Terms of Service

Welcome to Chopa. These Terms of Service (“Terms”) govern your access to and use of the Chopa platform, including our Telegram bot, restaurant dashboard, and related services (collectively, the “Service”).

By using Chopa, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Who we are

Chopa is a food-ordering platform that connects customers with independent local restaurants through Telegram. We facilitate ordering and payment, but we are not a restaurant and we do not prepare, deliver, or dispatch food directly.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to place orders or operate a restaurant on Chopa. By using the Service you represent that you meet this requirement.

3. Customers (Telegram users)

  • You are responsible for the accuracy of the pickup or delivery address, phone number, and any special instructions you provide to the restaurant.
  • Once an order is accepted by a restaurant, you cannot cancel without their consent. Refunds are at the restaurant's discretion subject to applicable consumer-protection law.
  • You agree not to misuse the Service, including making fraudulent orders, harassing restaurant staff, or attempting to compromise our systems.

4. Restaurants

If you operate a restaurant on Chopa, you agree that:

  • You are solely responsible for the quality, safety, and accuracy of food, prices, and menu information you list.
  • You will fulfill orders in a timely manner and communicate with customers honestly. Repeated cancellations or quality complaints may result in suspension.
  • You hold all licences and permits required to operate a food business in your jurisdiction, and will comply with all food-safety, tax, and labour laws.
  • You authorise Chopa to collect payments on your behalf via Paystack and to deduct a platform fee (currently 1% of order value, capped at ₦200 per order, subject to change with notice) before remitting the balance to your registered bank account.
  • Paystack's standard card processing fee (see Paystack's current pricing) is passed to the customer and added on top of the order total at checkout. You receive the full order amount minus only Chopa's platform fee.

5. Payments

Payments are processed by Paystack. By placing an order you authorise Chopa and Paystack to charge your selected payment method for the total order amount, which includes Paystack's standard card-processing fee (as published at Paystack's pricing page) passed to you by the merchant. This fee is displayed transparently before you confirm payment. We do not store card details on our servers, nor do we have access to them.

6. Fulfilment

Chopa is an order management platform. Fulfilment — including delivery or pickup — is entirely the responsibility of the restaurant. Chopa does not employ riders, coordinate deliveries, or guarantee fulfilment times.

7. Intellectual property

Chopa and its logos, designs, and software are owned by us and protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or commercially redistribute the Service without our written permission.

8. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your requirements. Food quality, allergens, and fulfilment are the responsibility of the restaurant.

9. Limitation of liability

To the maximum extent permitted by law, Chopa, its officers, employees, and partners are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of your use of the Service. Our total liability for any claim arising under these Terms is limited to the amount you paid for the order giving rise to the claim.

10. Termination

We may suspend or terminate your access at any time if you violate these Terms or engage in fraudulent, abusive, or unsafe behaviour. You may stop using the Service at any time. Restaurants may close their accounts via the dashboard or by emailing us.

11. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Lagos State, except where mandatory consumer-protection law provides otherwise.

12. Changes

We may update these Terms from time to time. If we make material changes, we'll notify you via email or in the dashboard. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
